These Terms of Service ("Terms") govern your access to and use of the RepoFlow website and services. By accessing or using our site, you agree to comply with and be bound by these Terms. If you do not agree, please do not use our website or services.
1. Acceptance of Terms
By using the RepoFlow website or any services offered by RepoFlow, you acknowledge that you have read, understood, and agree to these Terms of Service.
2. Description of Service
RepoFlow provides a platform for managing software packages. The landing page offers information about our services, including cloud and self-hosted solutions for developers, but does not require registration for browsing. Full access to the platform is provided upon purchase and registration.
3. Purchases and Refunds
- We offer a 14-day refund for cloud plans from the date of purchase. After this period, no refunds will be issued.
- Self-Hosted Licenses: Once a license is provided for a self-hosted plan, it is non-refundable. Licenses are not transferable or sellable between companies, even in cases of acquisition or purchase of the company. Each license is bound to the original purchaser and intended use as outlined in the agreement.
- Illegal Use of Licenses: Using the same license for more than one instance is strictly prohibited and will be considered illegal. RepoFlow reserves the right to revoke access and take legal action if this policy is violated.
- Personal Use Self-Hosted Licenses: These licenses are strictly for personal use, such as home labs, and are not permitted for use by companies, organizations, or similar entities. Personal licenses cannot be upgraded, transferred, or shared under any circumstances.
4. Prohibited Uses
You agree not to:
- Use the website for any unlawful purposes or in a way that could harm the website or platform.
- Interfere with the operation of the site, such as by uploading malicious software or manipulating bandwidth.
- Bypass security measures in place to protect both the platform and user data.
5. Intellectual Property
All right, title, and interest in and to the Services, Software (including self-hosted components), documentation, designs, text, graphics, logos, and overall look-and-feel/UI/UX (collectively, “RepoFlow Materials”) are and will remain the exclusive property of RepoFlow and its licensors. Except for the limited rights expressly granted in these Terms, no rights are granted by implication or otherwise.
Restrictions. You shall not (and shall not permit any third party to):
(a) copy, modify, translate, adapt, or create derivative works of any RepoFlow Materials;
(b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or non-public APIs of the Services or Software, except to the extent such restrictions are prohibited by applicable law.
(c) remove or alter proprietary notices.
(d) access or use the Services to build or improve a competing product or service, or to copy features, functions, UI/UX, or trade dress.
(e) perform or publish benchmarks without prior written consent.
(f) use any data-mining/scraping/robot tools.
(g) frame, mirror, resell, or sublicense the Services or Software without prior written consent.
Marks. “RepoFlow,” related names, logos, product names, and other source identifiers (the “Marks”) are proprietary to RepoFlow. RepoFlow claims rights in its unregistered Marks and trade dress. You may not use the Marks without prior written permission. No license to the Marks is granted by these Terms.
Feedback. If you provide ideas or suggestions, you grant RepoFlow a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction.
6. Modifications to Pricing and Services
RepoFlow may add, modify, or discontinue any Services, features, or functionality at any time. Any statements about future features (including labels such as “Soon,” “Roadmap,” or similar) are forward-looking and non-binding. Purchases are not contingent on the delivery of any future functionality.
Certain features may be offered as Beta/Preview. Beta/Preview features are provided AS IS, may be changed or withdrawn at any time, may not be production-ready, and are excluded from any SLA or support commitments unless expressly stated in a custom agreement.
RepoFlow may modify its pricing plans. Any price changes take effect after the current billing period ends and will not be applied immediately. As there is no user registration on the landing page, pricing changes will not be communicated directly unless the user is registered on the platform.
7. Limitation of Liability
RepoFlow is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, RepoFlow makes no warranties, express or implied, and disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
In no event shall RepoFlow or its owners, officers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business interruption, or other intangible losses, arising out of or related to:
- The use or inability to use the RepoFlow platform or website,
- Errors, bugs, or interruptions in the platform,
- Delays in feature delivery or updates,
- Discontinuation of services or licenses, with or without notice.
RepoFlow’s total cumulative liability under these Terms, from all causes of action and under all theories of liability, will be limited to the amount paid by the user (if any) in the 12 months preceding the claim.
8. Security
We take security seriously and use HTTPS to encrypt data transmitted between your browser and our website. However, no system is completely secure, and RepoFlow does not guarantee the absolute security of user data. Users are responsible for maintaining backups of their own data, especially for services hosted on the cloud platform.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Israel, without regard to conflict of law provisions.
10. Termination and Discontinuation of Services
RepoFlow reserves the right to modify, suspend, or discontinue any aspect of the platform, including the sale of licenses, cloud plans, or other services, at any time and without prior notice. In such cases, RepoFlow will not be held liable for any damages or losses incurred due to the termination or discontinuation of services.
Licenses purchased before discontinuation will remain valid for the duration of their agreed-upon term but will not obligate RepoFlow to provide additional licenses or extended services. For cloud plans, the service will remain available until the end of the current billing period, after which access to the platform will be discontinued.
No Commitment for Future Sales: RepoFlow does not guarantee that additional licenses will be available in the future or that services will be offered beyond the term of the license.
11. Dispute Resolution
Any disputes arising from or relating to these Terms or the use of RepoFlow’s services shall be resolved exclusively through arbitration in accordance with the rules of the Israeli Arbitration Institute. Arbitration proceedings shall take place in Israel, and the decision of the arbitrator shall be final and binding. By using our services, you waive the right to bring any claim in court, except as required by law.
12. Service Level Agreements (SLA)
RepoFlow plans do not include any guaranteed Service Level Agreement unless explicitly stated in a custom agreement.
When a custom SLA is provided, it refers to the time until the initial response. This means RepoFlow will acknowledge the reported issue and indicate that the issue is being reviewed or worked on. It does not guarantee immediate resolution or a fixed resolution time.
Standard plans, including personal and non-customized licenses, do not include any SLA commitments by default.
13. Self hosted License Scope and Restrictions
Each self-hosted license is valid for one (1) year from the date of delivery unless stated otherwise in a custom agreement. Licenses are limited to the licensed number of instances and are non-transferable, non-assignable, and non-sublicensable. You may not redistribute, rent, lease, or provide the Software to third parties, or use it to provide a managed service or SaaS to third parties. Licenses are delivered embedded in the Software image(s). You may not share, transfer, extract, duplicate, bypass, remove, spoof, or re-use any embedded license or activation mechanism.
14. Custom Agreements Take Precedence
In the event of any conflict between these Terms of Service and a signed agreement with RepoFlow, the terms of the signed agreement shall prevail.
15. Copyright Policy (Notice & Takedown)
RepoFlow respects intellectual-property rights and will respond to notices of alleged infringement that comply with applicable law. Notices must include: (i) identification of the copyrighted work, (ii) identification of the allegedly infringing material and its location, (iii) your contact details, (iv) a statement of good-faith belief that the use is not authorized, and (v) a statement that the information is accurate and you are authorized to act. Send notices to hello@repoflow.io. RepoFlow may remove or disable access to the material and may terminate repeat infringers.
16. Equitable Relief
You agree that any breach of Sections 5, 6, or 16 may cause irreparable harm for which monetary damages are inadequate, and that RepoFlow may seek injunctive or other equitable relief in addition to any other remedies.
